These Terms of Service ("Terms") govern your access to and use of the ShadowSpar website, mobile application, and related services (collectively, the "Services"), provided by WANSI LTD ("WANSI", "ShadowSpar", "we", "us", or "our"). By creating an account, checking the box to accept these Terms during registration, or otherwise accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Services.
You must be at least 16 years old to create an account. By registering, you confirm that the information you provide — including your name, date of birth, place of birth, nationality, and country — is accurate and that you will keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Accounts are personal to you and may not be transferred or shared.
At registration, you choose an account type — Student or Coach — which determines the features, obligations, and dashboard available to you. Certain features described in these Terms apply only to one account type; where that is the case, we say so explicitly.
ShadowSpar provides combat-sports training content, including coach-led video classes, an AI-assisted motion-feedback feature ("AI Motion Coach"), nutrition-estimation tools (photo and video calorie scanning), progress tracking, a Coaches directory through which independent coaches offer paid private ("1:1") sessions, and a Community feed where coaches may publish posts. The specific features available to you depend on your account type and subscription tier.
The AI Motion Coach and nutrition-estimation features rely on automated analysis of images and video you provide and are intended to support your training and awareness — they are estimates, not medical or professional advice. See Section 10.
Student accounts may subscribe to one of the tiers described on our Pricing page (currently Rookie, Contender, and Champion), each with its own price, billing frequency (monthly or annual), and feature set. Subscriptions renew automatically at the end of each billing period at the then-current price unless cancelled before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds for partial periods except where required by law.
To operate a public coaching profile, sell 1:1 sessions, or post in the Community feed, you must register as a Coach and subscribe to one of our coach plans (currently Coach Standard or Coach Verified), as described on our Pricing page. Coach plans include a 3-day free trial. A valid payment method is required to start the trial. If you do not cancel before the trial period ends, your payment method will be charged automatically at the applicable subscription price, and your subscription will continue to renew on that basis until you cancel.
WANSI does not take any commission on payments for 1:1 sessions booked between a coach and a student; our only revenue from coach accounts is the subscription fee described above. Coach plan pricing, features, and the availability of the verified badge may be updated from time to time; we will provide reasonable notice of any price increase affecting your existing subscription.
Coaches set their own prices for 1:1 private sessions offered through the Services. When a student books and pays for a session, the payment is processed through our payment partner Stripe and held by WANSI on the coach's behalf until the session has taken place. Following completion of a session, the corresponding amount becomes eligible for payout and is included in the coach's next scheduled weekly payout, subject to standard payment-processing timelines, fraud checks, and any applicable holds. WANSI is not a party to the coaching relationship between a coach and a student and is not responsible for the quality, safety, or outcome of any 1:1 session; that relationship, and any dispute arising from it, is between the coach and the student, without prejudice to WANSI's role in processing payment as described in this section.
Cancellation, rescheduling, and refund terms for a specific 1:1 session are set by the coach and displayed at the time of booking. Where a coach fails to deliver a paid session, WANSI may, at its discretion, issue a refund to the student and adjust the coach's pending payout accordingly.
All Coach accounts must complete identity verification, involving submission of a government-issued identification document and a live selfie, as a condition of maintaining a public coaching profile. The verified (blue badge) status available under the Coach Verified plan additionally boosts a coach's ranking in the Coaches directory and Community feed, including preferential visibility to students located near the coach. WANSI may suspend, decline, or revoke verification or badge status at its discretion, including where submitted information cannot be confirmed or where we suspect fraud.
Only Coach accounts may publish posts (text and, optionally, an image) in the Community feed; Student accounts and visitors may view, like, and comment on posts but may not create new posts. You are solely responsible for content you post or submit and represent that you have all rights necessary to post it. We may remove content or suspend accounts that violate these Terms, including content that is unlawful, harassing, sexually explicit, misleading, or that promotes dangerous or unsafe training practices. Engagement (likes and comments) may influence how widely a post is shown to other users; verified coaches receive additional visibility as described in Section 7.
The Services, including all software, design, text, graphics, and the ShadowSpar name and logo, are owned by WANSI LTD or its licensors and are protected by intellectual-property laws. You retain ownership of content you post (such as Community posts or profile content), but by posting it you grant WANSI a worldwide, royalty-free license to host, display, and distribute that content as necessary to operate and promote the Services.
Combat-sports training carries an inherent risk of physical injury. You should consult a physician before beginning any new exercise program, particularly if you have a pre-existing health condition. The AI Motion Coach and nutrition-estimation features provide automated, estimate-based feedback and are not a substitute for professional medical, nutritional, or coaching advice. You use the Services, including any training content or feedback provided through them, at your own risk.
You may close your account at any time from your account settings. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or created risk or legal exposure for WANSI or other users. Provisions of these Terms that by their nature should survive termination — including Sections 6, 9, 12, 13, and 14 — will survive.
The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that any estimate provided by the AI Motion Coach or nutrition-scanning features will be accurate.
To the maximum extent permitted by law, WANSI LTD and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Services, even if advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Services will not exceed the amount you paid to WANSI in the twelve months preceding the claim.
You agree to indemnify and hold harmless WANSI LTD from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms, your content, or your use of the Services, including, for coaches, any dispute arising from a 1:1 session you provide.
These Terms are governed by the laws applicable to WANSI LTD's place of incorporation, without regard to conflict-of-law principles, except where mandatory local consumer-protection law provides otherwise. Any dispute arising from these Terms or the Services will first be addressed through good-faith negotiation; if unresolved, it will be subject to the exclusive jurisdiction of the competent courts, except where applicable law grants you the right to bring a claim in your local courts.
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice within the Services before the changes take effect. Continuing to use the Services after changes become effective constitutes your acceptance of the revised Terms.
Questions about these Terms can be sent to legal@shadowspar.com. WANSI LTD is the contracting entity for the Services described in these Terms.
